Terms of Service

These Terms of Service (“Terms“) govern your access to and use of eezit.ca (the “Website“) and the computer repair, managed IT, cybersecurity, Microsoft 365, networking, consulting, and related technology services (collectively, the “Services“) provided by EezIT (“EezIT,” “we,” “our,” or “us“).

These Terms constitute a legally binding agreement between you and EezIT.

By accessing our Website, requesting Services, submitting a contact form, booking an appointment, authorizing a technician to perform work, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Website or request or use our Services.

If you enter into these Terms on behalf of a corporation, partnership, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such circumstances, references to “you” include both you personally and the legal entity you represent.

1. Eligibility

To use our Services, you must:

  • be at least eighteen (18) years of age or the age of majority in your jurisdiction;
  • have the legal capacity to enter into binding agreements;
  • own the equipment requiring service or otherwise possess sufficient legal authority to authorize EezIT to perform the requested work; and
  • provide accurate and complete information when requesting Services.

 

Where Services are requested on behalf of a business, you represent that you are authorized to engage EezIT and to grant any permissions or system access necessary for us to perform the requested Services.

2. Description of Services

EezIT provides professional technology services that may include, without limitation:

  • Computer repair
  • Laptop repair
  • Hardware diagnostics
  • Hardware upgrades
  • Virus and malware removal
  • Operating system repair
  • Software troubleshooting
  • Data recovery
  • Data migration
  • Network installation and troubleshooting
  • Wi-Fi optimization
  • Microsoft 365 administration
  • Business IT support
  • Managed IT Services
  • Cybersecurity services
  • Remote technical support
  • On-site technical support
  • Technology consulting
  • Other related services offered by EezIT
 

Descriptions appearing on our Website are provided for general informational purposes only and do not constitute a guarantee that a particular issue can be diagnosed or resolved.

Services may be provided:

  • remotely;
  • at your premises;
  • at another location designated by EezIT; or
  • through a combination of these methods.
 

Availability, response times, pricing, technician availability, and service areas may vary and are subject to confirmation by EezIT.

3. Estimates, Diagnostics and Pricing

Any estimate provided before a technician has inspected your device or environment is an estimate only.

The actual cost of the Services may vary depending on:

  • the complexity of the issue;
  • hardware condition;
  • software configuration;
  • availability of replacement parts;
  • additional labour required;
  • previously undisclosed issues; or
  • other circumstances discovered during diagnosis.
 

Where a material increase in cost is required to complete the requested Services, EezIT will make reasonable efforts to obtain your approval before performing additional billable work.

Diagnostic fees, where applicable, are payable regardless of whether you proceed with the recommended repair unless otherwise agreed in writing.

Quoted prices remain valid only for the period specified in the quotation and may change where supplier pricing, exchange rates, licensing costs, shipping charges, or other external costs materially change before acceptance.

All prices are quoted in Canadian dollars unless expressly stated otherwise and are exclusive of applicable taxes.

4. Booking, Scheduling and Cancellation

Appointment requests are subject to technician availability and are not confirmed until accepted by EezIT.

Although EezIT will make reasonable efforts to arrive within scheduled appointment windows, exact arrival times cannot be guaranteed due to traffic conditions, emergency service calls, weather conditions, previous appointments requiring additional time, or other circumstances beyond our reasonable control.

Customers may reschedule or cancel appointments by using the appointment confirmation link or by contacting EezIT directly.

We request as much advance notice as reasonably possible.

EezIT reserves the right to charge cancellation or missed appointment fees where:

  • less than twenty-four (24) hours’ notice is provided;
  • a technician has already been dispatched;
  • the technician is unable to access the property;
  • the customer is unavailable at the agreed appointment time.
 

Any applicable cancellation fee will be disclosed before it is charged.

EezIT reserves the right to decline, postpone, or cancel appointments where:

  • the requested work falls outside our service scope;
  • required parts are unavailable;
  • technician safety is at risk;
  • abusive or threatening behaviour occurs;
  • required information is withheld;
  • outstanding invoices remain unpaid; or
  • circumstances beyond our reasonable control prevent performance.

5. Service Communications

By requesting Services, submitting a booking request, authorizing work, or otherwise engaging EezIT, you expressly consent to receive communications from EezIT by telephone, email, SMS (text message), and other reasonable electronic means regarding the Services you have requested.

These communications may include:

  • appointment confirmations;
  • appointment reminders;
  • technician arrival notifications;
  • requests for additional information;
  • scheduling updates;
  • quotations and estimates;
  • invoices;
  • payment reminders;
  • service progress updates;
  • issue resolution notes;
  • warranty communications;
  • follow-up support;
  • customer satisfaction surveys; and
  • other communications reasonably necessary to provide or support the requested Services.
 

These communications are transactional in nature and form an essential part of delivering the Services.

Where required by applicable law, promotional or marketing communications will be sent only with the consent required under Canadian Anti-Spam Legislation (CASL). You may unsubscribe from marketing communications at any time; however, opting out of service-related communications may prevent EezIT from providing or completing the requested Services.

Comments on this revision

Compared to your original, I intentionally made several changes:

  • Added a proper legal introduction.
  • Expanded the definition of Services to cover future offerings (cybersecurity, consulting, cloud, etc.) so you don’t need to amend the Terms every time you add a new service.
  • Improved the estimates section to better protect you from unexpected repair costs.
  • Strengthened appointment language and late-arrival protection.
  • Added the comprehensive communications consent clause we discussed.
  • Explicitly referenced CASL for marketing communications.

6. Access to Devices, Accounts, Networks, and Business Systems

Providing the requested Services may require EezIT to access your computer, mobile device, server, network, cloud environment, email account, Microsoft 365 tenant, firewall, router, backup system, or other technology resources.

Depending on the Services requested, this access may include:

  • physical possession of a device;
  • remote access to your computer or network;
  • administrative access to operating systems or business systems;
  • temporary use of administrator credentials;
  • access to cloud platforms or hosted services;
  • access to files necessary for diagnostics, malware removal, backup restoration, migration, or data recovery; and
  • access to third-party services that you authorize us to manage on your behalf.
 

You authorize EezIT to access these systems solely for the purpose of providing the requested Services.

EezIT will access only the information reasonably necessary to complete the requested work and will not intentionally access, copy, or use personal information unrelated to the Services except where required by law or specifically authorized by you.

Where Services are provided remotely, you acknowledge that remote support requires a stable internet connection and compatible software. EezIT is not responsible for interruptions caused by internet outages, third-party software failures, power outages, or other circumstances beyond our reasonable control.

7. Customer Responsibilities

To enable EezIT to perform the requested Services safely and efficiently, you agree to:

  • provide accurate and complete information regarding the reported issue;
  • provide timely access to devices, systems, premises, and accounts;
  • maintain a safe working environment for technicians performing on-site Services;
  • disclose any known hazards or environmental risks before work begins;
  • ensure you have legal authority to request Services for the equipment, accounts, and systems provided;
  • ensure all software licenses are valid and properly obtained;
  • promptly review quotations, invoices, and requests for approval;
  • promptly notify EezIT if any information previously provided becomes inaccurate.
 

You further warrant that the equipment presented for service:

  • is not knowingly stolen;
  • has not been fraudulently obtained;
  • does not intentionally contain illegal material;
  • may lawfully be serviced by EezIT.
 

EezIT reserves the right to refuse or terminate Services where we reasonably believe these conditions have not been met or where continuing work would violate applicable law.

8. Data Backup and Customer Responsibility

Although EezIT takes reasonable care when performing Services, computer repair, software repair, malware removal, hardware replacement, firmware updates, operating system installation, and data recovery inherently involve some risk of data corruption or loss.

Accordingly, you are solely responsible for ensuring that all important data is fully backed up before any Service begins.

Unless expressly agreed otherwise in writing, EezIT does not provide backup verification prior to commencing work.

If backup services are requested, EezIT will perform those Services using commercially reasonable efforts but does not guarantee that every file or application can be successfully copied, restored, or recovered.

Except where prohibited by applicable law, EezIT shall not be responsible for:

  • lost files;
  • corrupted files;
  • inaccessible files;
  • damaged operating systems;
  • application failures;
  • encryption failures;
  • hardware failures occurring during repair; or
  • any consequential losses arising from unavailable data.
 

Where data is of exceptional personal, financial, medical, legal, or business importance, you should maintain multiple verified backups before authorizing any repair.

9. Passwords, Credentials, and Security

Certain Services require EezIT to temporarily use usernames, passwords, encryption keys, authentication codes, or other credentials.

Where credentials are provided:

  • they will be used solely to perform the requested Services;
  • access will be limited to personnel involved in the engagement;
  • credentials will not be disclosed to unrelated third parties except where necessary to provide the requested Services;
  • credentials will not be retained longer than reasonably necessary unless required for an ongoing Managed IT Services agreement.
 

Following completion of certain Services—including malware removal, account compromise investigations, cybersecurity incidents, or unauthorized access investigations—EezIT may recommend changing passwords or enabling additional security measures such as multi-factor authentication.

Implementation of those recommendations remains your responsibility unless otherwise agreed in writing.

10. Third-Party Products and Services

Many Services provided by EezIT involve products or services supplied by third parties, including but not limited to:

  • Microsoft;
  • Google;
  • Apple;
  • hardware manufacturers;
  • internet service providers;
  • software vendors;
  • cloud hosting providers;
  • domain registrars;
  • cybersecurity vendors; and
  • backup providers.
 

EezIT does not control the products or services provided by these third parties and cannot guarantee:

  • their availability;
  • continued compatibility;
  • pricing;
  • licensing terms;
  • uptime;
  • security;
  • performance; or
  • future functionality.
 

EezIT is not responsible for outages, account suspensions, licensing changes, discontinued products, vendor policy changes, or other events caused by third-party providers.

Where EezIT assists with third-party products or services, we do so as a service provider and not as the manufacturer, publisher, or owner of those products.

11. Temporary Storage of Equipment

Where equipment is left with EezIT for diagnosis or repair, reasonable care will be taken to safeguard the equipment while it remains in our possession.

Customers are encouraged to remove accessories, removable storage devices, SIM cards, memory cards, and other personal items before leaving equipment with EezIT.

Unless otherwise agreed, repaired equipment should be collected promptly after notification that the work has been completed.

Equipment remaining unclaimed for more than ninety (90) days after reasonable notice has been provided may, to the extent permitted by applicable law, be considered abandoned.

In such circumstances, EezIT reserves the right to dispose of, recycle, or sell the equipment in order to recover outstanding repair, storage, disposal, or administrative costs, subject to applicable legal requirements.

12. Payment Terms

Unless otherwise agreed in writing, payment is due immediately upon completion of the Services.

Business customers operating under a separate service agreement may be invoiced in accordance with the payment terms specified in that agreement.

EezIT accepts the payment methods identified at the time of booking or invoicing. Payment methods may change from time to time without notice.

Failure to make payment when due constitutes a breach of these Terms.

To the extent permitted by applicable law, EezIT reserves the right to:

  • suspend ongoing Services;
  • refuse future appointments;
  • withhold delivery or return of repaired equipment until outstanding balances have been paid;
  • charge reasonable collection costs incurred in recovering unpaid amounts; and
  • charge interest on overdue balances at the rate disclosed on the applicable invoice or otherwise permitted by law.
 

Where work is suspended because of non-payment, EezIT is not responsible for any delays, downtime, or resulting business interruption.

13. Warranty on Repairs

Unless otherwise stated in writing, EezIT provides a thirty (30) day limited labour warranty covering only the specific repair or Service performed.

This warranty applies solely to defects arising directly from the workmanship associated with the original repair.

The warranty does not extend to:

  • unrelated hardware failures;
  • new or recurring issues unrelated to the original repair;
  • accidental damage;
  • liquid damage;
  • electrical surges;
  • physical abuse;
  • misuse;
  • unauthorized repairs or modifications performed by third parties;
  • malware or software installed after completion of the Service;
  • normal wear and tear;
  • manufacturer defects beyond our control.
 

Where replacement parts are supplied by EezIT, those parts are covered solely by the applicable manufacturer or supplier warranty.

EezIT will make reasonable efforts to assist customers in processing manufacturer warranty claims; however, EezIT does not independently warrant third-party components beyond the warranty offered by the manufacturer.

Labour required to replace warranty parts may be chargeable unless otherwise agreed in writing.

14. Software Services

Software troubleshooting, operating system repair, application configuration, malware removal, driver installation, system optimization, and similar Services are performed using commercially reasonable efforts.

Because software environments continually change due to updates, user activity, third-party applications, internet services, and hardware changes, EezIT cannot guarantee that:

  • software issues will not reoccur;
  • future updates will remain compatible;
  • performance improvements will be permanent; or
  • additional software problems will not develop after the Service has been completed.
 

Unless otherwise expressly stated in writing, software-related Services are not covered by the thirty (30) day labour warranty.

15. Malware Removal

Malware removal significantly reduces or eliminates known malicious software identified during the Service.

However, no antivirus, anti-malware tool, or technician can guarantee the complete removal of every malicious component or guarantee that future infections will not occur.

Following malware removal, EezIT may recommend additional security measures including:

  • multi-factor authentication;
  • password changes;
  • operating system updates;
  • software replacement;
  • firewall improvements;
  • endpoint protection;
  • user awareness training.
 

Unless separately engaged to implement those recommendations, responsibility for maintaining the ongoing security of your systems remains with you.

16. Data Recovery Services

Data recovery Services are provided on a best-efforts basis.

Because damaged storage devices, failed hardware, encrypted media, and corrupted file systems present unique technical challenges, EezIT makes no guarantee that any specific file, folder, database, or quantity of data can be recovered.

You acknowledge that:

  • recovery attempts may be unsuccessful;
  • partial recovery may be the only possible outcome;
  • recovery attempts themselves may increase the risk of permanent data loss;
  • storage devices may fail completely during recovery attempts due to their existing condition.
 

Diagnostic charges and recovery attempt fees remain payable regardless of the outcome unless otherwise agreed in writing.

To the fullest extent permitted by law, EezIT is not liable for:

  • unrecoverable data;
  • incomplete recovery;
  • corrupted recovered files;
  • business interruption;
  • lost revenue;
  • lost profits;
  • emotional or sentimental value associated with lost data.

17. Managed IT Services

Where EezIT provides Managed IT Services under a separate agreement, Statement of Work, Master Services Agreement (MSA), or recurring support plan, those documents govern the specific Services provided.

In the event of any inconsistency between those agreements and these Terms, the specific Managed Services agreement shall prevail only with respect to the Services covered by that agreement.

Unless expressly included within the applicable Managed Services agreement, EezIT does not guarantee:

  • continuous monitoring;
  • cybersecurity protection;
  • backup verification;
  • disaster recovery;
  • software licensing compliance;
  • regulatory compliance;
  • uptime;
  • response times; or
  • proactive maintenance.
 

Business customers remain responsible for:

  • maintaining appropriate cybersecurity policies;
  • ensuring regulatory compliance applicable to their industry;
  • maintaining cyber insurance where appropriate;
  • reviewing backup reports;
  • maintaining appropriate business continuity plans.

18. Intellectual Property

All content appearing on the Website, including text, graphics, images, logos, trademarks, software, documentation, layout, and design, is owned by or licensed to EezIT and is protected by applicable intellectual property laws.

Except as expressly permitted by law, no content from the Website may be copied, reproduced, modified, distributed, republished, transmitted, displayed, or otherwise used without EezIT’s prior written consent.

Where EezIT develops custom documentation, scripts, automation, configurations, or other work product specifically for a customer as part of a paid engagement, ownership of that work product transfers to the customer upon full payment unless otherwise agreed in writing.

Nothing in these Terms transfers ownership of EezIT’s proprietary methodologies, templates, internal documentation, software tools, know-how, or other pre-existing intellectual property.

19. Acceptable Use of the Website

You agree not to:

  • use the Website for any unlawful purpose;
  • submit false, misleading, or fraudulent information;
  • interfere with the operation or security of the Website;
  • introduce malware, ransomware, viruses, or other malicious code;
  • attempt unauthorized access to EezIT’s systems or those of other users;
  • scrape, harvest, copy, or reproduce Website content using automated means without written permission;
  • impersonate another person or organization;
  • use the Website in any manner that could damage its operation or reputation.
 

EezIT reserves the right to suspend or terminate access to the Website or refuse Services where these Terms are violated.

20. Third-Party Websites

The Website may contain links to third-party websites, products, or services that are not owned or controlled by EezIT.

These links are provided solely for your convenience.

EezIT does not endorse and is not responsible for:

  • the content of third-party websites;
  • their availability;
  • their privacy practices;
  • their terms of use;
  • products or services offered by third parties.
 

Your use of third-party websites is entirely at your own risk and subject to the applicable third party’s own terms and privacy policies.

21. Disclaimer of Warrantie

Except as expressly stated in these Terms or required by applicable law, the Website and all Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, EezIT disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • satisfactory quality;
  • non-infringement;
  • uninterrupted availability.
 

EezIT does not warrant that:

  • every issue can be diagnosed or repaired;
  • every hardware failure can be corrected;
  • every software issue can be resolved;
  • data can always be recovered;
  • the Website will remain continuously available;
  • the Website will be free of errors, interruptions, or malicious code.
 

While EezIT performs Services using commercially reasonable care and skill, technology systems are inherently complex and outcomes cannot always be guaranteed.

22. Limitation of Liability

To the fullest extent permitted by applicable law:

EezIT’s total aggregate liability arising out of or relating to the Website or the Services, whether based in contract, tort (including negligence), statute, equity, or any other legal theory, shall not exceed the total amount actually paid by you to EezIT for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, EezIT shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • loss of data;
  • loss of revenue;
  • loss of profits;
  • business interruption;
  • loss of goodwill;
  • loss of business opportunity;
  • replacement equipment costs;
  • loss of productivity;
  • loss of anticipated savings.
 

These limitations apply regardless of:

  • the legal theory asserted;
  • whether the claim arises in contract, negligence, tort, statute, or otherwise;
  • whether EezIT was advised of the possibility of such damages;
  • whether any remedy fails of its essential purpose.
 

Nothing in these Terms excludes liability that cannot legally be excluded under applicable Canadian law, including liability arising from:

  • fraud;
  • fraudulent misrepresentation;
  • willful misconduct;
  • death or personal injury caused directly by EezIT’s negligence; or
  • any liability that applicable law prohibits from being limited or excluded.

23. Indemnification

You agree to indemnify, defend, and hold harmless EezIT, its owners, directors, employees, contractors, subcontractors, and agents from and against any claims, damages, liabilities, judgments, losses, penalties, costs, and expenses (including reasonable legal fees) arising directly or indirectly from:

  • your breach of these Terms;
  • your misuse of the Website or Services;
  • information you provide that is false or misleading;
  • equipment or systems you were not legally authorized to submit for service;
  • infringement of third-party rights resulting from your actions;
  • your violation of any applicable law.
 

This indemnity does not apply to the extent the claim results from EezIT’s own gross negligence, fraud, or willful misconduct.

24. Suspension and Termination

EezIT may suspend or terminate the provision of Services immediately where:

  • these Terms are breached;
  • payment obligations are not met;
  • abusive, threatening, discriminatory, or unsafe behaviour occurs;
  • fraudulent activity is suspected;
  • continuing the engagement would violate applicable law;
  • continuing the engagement presents an unacceptable safety or security risk.

 

Termination does not affect rights or obligations that accrued before termination, including payment obligations.

Sections relating to payment, warranties, limitation of liability, intellectual property, indemnification, governing law, dispute resolution, and any provisions intended by their nature to survive termination shall remain in effect.

25. Privacy

Your use of the Website and our Services is also governed by the EezIT Privacy Policy, which is incorporated into these Terms by reference.

Where these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy shall govern with respect to privacy matters.

26. Governing Law

These Terms are governed exclusively by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal proceeding arising from these Terms shall be brought exclusively before the courts located within the Province of Alberta.

27. Informal Dispute Resolution

Before commencing legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions.

Either party may initiate this process by providing written notice describing the dispute.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where appropriate.

28. Changes to These Terms

EezIT may update these Terms from time to time to reflect changes in:

  • applicable law;
  • business operations;
  • technology;
  • Services offered;
  • security practices.
 

The revised version will become effective upon publication on the Website unless otherwise stated.

Continued use of the Website or Services following publication constitutes acceptance of the updated Terms.

29. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, invoices, quotations, Statements of Work, Managed Services Agreements, and any other written agreements expressly incorporated by reference, constitute the complete agreement between you and EezIT regarding the Services.

Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain fully enforceable.

No Waiver

Failure by EezIT to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Assignment

You may not assign your rights or obligations under these Terms without EezIT’s prior written consent.

EezIT may assign these Terms as part of a merger, acquisition, sale of assets, corporate reorganization, or similar transaction.

Force Majeure

EezIT shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including:

  • natural disasters;
  • severe weather;
  • pandemics;
  • labour disputes;
  • government action;
  • internet outages;
  • power failures;
  • supplier delays;
  • cyberattacks affecting third-party providers;
  • transportation disruptions.
 

Independent Contractor

Nothing contained in these Terms creates any partnership, joint venture, agency, employment relationship, or fiduciary relationship between you and EezIT.
